Greetings,
I am attempting to cite to a photocopy of the “Certificate of Incorporation” for a defunct business entity. Unfortunately, there was no copy on file with the County Clerk, which is where I usually obtain such records from. Thus, I had to request a copy via mail from the State of New Jersey’s Department of the Treasury’s Division of Revenue and Enterprise Services.
Unfortunately, having gone that route, there was no book and page number, nor any additional information contained regarding the original filing beyond the date it was filed with the State and an assigned “entity identification number.”
The Certificate itself contains the names of the three incorporating officers and the municipality and county in which the corporation was organized, though I don't know how much of that information should be included in the citation itself….
Given the limited information, I relied upon Incomplete Citation to Corporate Records (as found in 4.12 of the Third Edition) and came up with the following:
Certificate of Incorporation for [Corporation Name], [Town], [County], entity no. 12345678, filed [date]; photocopy supplied by Department of the Treasury, Division of Revenue and Enterprise Services to [author], [address], December 2024.
Any guidance or input would be immensely appreciated.
